Terms of Service

Acceptance

By downloading, installing, or using Chip (“the software”), you agree to these terms. If you do not agree, do not use the software.

Early access

Chip is currently in early access. The software is provided as-is, may contain bugs, and features may change without notice. We appreciate your feedback and patience as we continue to develop the product.

License

We grant you a personal, non-transferable, non-exclusive license to use Chip on your macOS devices. You may not copy, modify, distribute, sell, or sublicense the software. You may not reverse engineer the software except as permitted by applicable law.

Your responsibilities

API keys — You are responsible for all usage and costs incurred under your AI provider API keys. Keep them secure. Chip stores keys locally on your device.

Actions — Chip can read files, run commands, and take desktop actions on your behalf. You are responsible for reviewing and approving actions before they execute. Do not use Chip to take actions you are not authorized to perform.

Data — You are responsible for ensuring that content you share with AI providers through Chip complies with those providers' terms and any applicable law. Be aware that some providers (including DeepSeek) are operated outside the United States.

Account — You are responsible for maintaining the confidentiality of your account credentials.

Acceptable use

You agree not to use Chip to:

  • Violate any applicable law or regulation
  • Access systems or data you are not authorized to access
  • Generate or distribute malware, harmful code, or illegal content
  • Circumvent security controls of third-party systems
  • Infringe the intellectual property rights of others

Disclaimer of warranties

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR DAMAGE TO SYSTEMS, ARISING FROM YOUR USE OF CHIP.

Changes to the service

We reserve the right to modify, suspend, or discontinue the software or any feature at any time. We will make reasonable efforts to notify users of material changes.

Governing law

These terms are governed by the laws of the State of New York, United States, without regard to conflict of law principles.
